Legal Counsel | Sysmex- Lincolnshire, Illinois

We currently have a great opportunity available for a Legal Counsel, who will be responsible for providing hands-on, direct legal support and counseling to Sysmex business and functional teams and leaders in USA, primarily through drafting, negotiating and interpreting a wide variety of commercial agreements and handling other legal matters and contract-related business process improvement projects, all under the supervision of the Corporate Counsel
Essential Duties and Responsibilities:
1. Research, review, interpret, draft and support negotiation of a variety of agreements , including sales and service contracts, GPO/IHN arrangeme nts, distributor agreements , purchase, supply and manufacturi ng arrangeme nts, technology licenses, inter- company agreements , clinical trial, research study and collaboratio n agreements , consulting and professiona l service arrangeme nts, non-disclos ure agreements and employmen t-related documents. Consider business, legal, compliance, quality and regulatory issues in providing advice and consult with colleagues in those functional areas in defining company negotiating positions.
2. Assist the Director, Compliance and Ethics / Corporate Counsel in managing litigation docket and interactions with outside counsel.
3. Provide legal expertise and guidance to business leaders and cross- functional teams engaged in marketing, product developmen t, IT, regulatory, operations, manufacturi ng, sales and service activities and projects. Recommen d and lead execution of business process improveme nts to mitigate legal and/or compliance risk, improve operational efficiencies, and enhance customer satisfaction.
4. Provide legal review of internal and external communica tions, sales / promotiona l materials, and internal policies and procedures employed throughout the company. Draft policies and procedures related to legal and compliance issues for use throughout the company.
5. Proactively review, analyze and remain current on a broad range of legal issues and their impact on Sysmex's business, and disseminate information appropriate ly through live training and internal publications .
6. Demonstrat e a flexible and proactive approach to problems and demands, with the ability to thrive on challenge and react quickly and positively to a fast-moving and challenging environmen t. Establish rapport and a working relationship with executive manageme nt and associates at all levels to encourage and continue the proactive use of in-house legal counsel where appropriate .
7. May have responsibili ty for coaching or supervising paralegal/s upport staff on individual projects and for leading ad hoc project teams.
8. Demonstrat e a thorough understandi ng of and familiarity with the Sysmex business model, its culture, people, products, markets, facilities, customers and competitors and utilize that knowledge in providing guidance and counsel to internal clients.
9. Additional duties as assigned. Required Skills:
